INVESTMENT MODEL

What type of investment returns can I expect?

Our investment model targets 10% annual returns excluding fees, which is above traditional fixed-income instruments. Returns are generated through structured acquisitions of real estate assets purchased below market value and managed through regulated, compliant investment frameworks.

Is my capital guaranteed?

Each investment is structured with a capital protection mechanism, meaning the initial invested capital is secured through defined legal and asset-backed structures. Full details are outlined contractually prior to investment.

How secure is the investment structure?

Investor capital is held within a ring-fenced Special Purpose Vehicle (SPV) and administered via a DFSA-regulated escrow arrangement, ensuring transparency, segregation of funds, and regulatory compliance. This structure provides immediate equity backing and strong downside protection.

What is the minimum investment amount?

The minimum investment amount is USD 300,000, subject to the specific project and structure.

How long is the investment duration?

Investment terms typically range from 1 to 2 years, depending on the selected asset, strategy, and exit timeline.

Can I reinvest my returns into new projects?

Yes. Many of our investors choose to reinvest returns into subsequent opportunities, reflecting a long-term partnership approach.

How is my investment legally structured?

Your investment is structured through a ring-fenced DIFC Special Purpose Vehicle (SPV) established to hold the underlying real estate asset or project. Investor capital is deployed only via SPV and governed by a legally binding Profit Participation Agreement (PPA),. which defines rights, returns and exit terms.

How is my capital protected?

Investor capital is deposited into individual, segregated escrow accounts operated by an independent, DFSA-regulated escrow manager. Funds are never transferred directly to the fund or SPV unless predefined legal and transactional conditions are met, ensuring controlled, traceable, and purpose-limited use of capital.

Investor protection is built into every layer of the structure:

  • Escrow Manager - Oversees controlled use and release of funds
  • SPV (Special Purpose Vehicle) - Ring-fences assets and investor capital
  • Fund Manager - Executes the investment strategy and reporting
  • Profit Participation Agreement (PPA) - Defines investor rights, returns, and exit terms

All roles, responsibilities, and protections are contractually defined and legally enforceable.

What role does the Escrow Manager play?

The Escrow Manager is an independent third party regulated by the Dubai Financial Services Authority. Their role includes:

  • Controlling all capital releases
  • Verifying acquisition documentation, SPV records, and title transfers
  • Ensuring investor funds are used only for approved purposes

This provides institutional-grade capital protection and governance.

What is a Profit Participation Agreement (PPA)?

The PPA is a legally binding contract between the investor and the SPV that entitles the investor to a defined percentage of net profits generated by the asset or project.

It clearly defines:

  • Profit calculations (gross vs net)
  • Fees and levies
  • Distribution timelines
  • Exit mechanisms
  • Reporting and audit rights

The PPA does not constitute equity, ownership, trust, or fiduciary interest in the property.

Do I own the property directly?

No. Investors do not hold legal or beneficial ownership of the asset. The SPV holds legal title, while investors participate economically through the PPA. This structure simplifies governance, enhances risk isolation, and enables efficient exits without individual title transfers.

How are funds allowed to be used?

Funds may only be used for pre-defined and contractually approved purposes, including:

  • Asset acquisition and transfer costs
  • Legal, due diligence, and registration fees
  • Approved development, refurbishment, or enhancement works
  • Financing, brokerage, and operational expenses directly related to the project

Any release of funds is subject to escrow verification and compliance checks.

What role does Sun Secret Realty play as Manager?

Sun Secret Realty acts as the exclusive Fund Manager and operator of the SPV and project. Responsibilities include:

  • Asset identification and acquisition
  • Financial modelling and feasibility analysis
  • Operational and strategic decision-making
  • Refurbishment, leasing, and asset optimisation
  • Preparing and executing the exit strategy

This authority is contractually defined and exercised within the agreed investment framework.

How is transparency and reporting ensured?

Investors benefit from:

  • Escrow-verified capital movements
  • Contractually defined reporting obligations
  • Clearly defined profit calculation and distribution mechanics

All capital flows and exits are processed through escrow, ensuring full reconciliation and auditability.

How does the exit and profit distribution work?

Upon sale, refinancing, or disposal of the asset:

  1. Proceeds are paid into the escrow account
  2. Outstanding SPV liabilities are settled
  3. Manager and escrow fees are paid
  4. Remaining net profit is distributed according to the PPA

All distributions are processed exclusively via the escrow mechanism.

Do investors need to approve the exit?

No. The Fund Manager has exclusive authority to determine the timing, method, and terms of exit, including broker selection and sale strategy. This ensures efficiency and professional execution without delays caused by fragmented approvals.

Yes. We provide end-to-end asset management, including acquisition, legal structuring, valuation, refurbishment (where applicable), rental optimisation, and exit execution.

Can I invest using cryptocurrency?

Yes. We offer crypto-friendly investment options, allowing investors to invest and receive returns in either cryptocurrency or fiat, subject to compliance and onboarding requirements.

Can I choose the currency for my payouts?

Absolutely. Payouts can be made in fiat or cryptocurrency, as agreed at the outset of the investment.

How long does onboarding take?

Onboarding typically takes 7–10 working days, subject to completion of KYC and compliance checks.

How do you handle confidentiality and data protection?

All clients are protected by Non-Disclosure Agreements (NDAs), and data is handled in accordance with applicable UAE data protection laws and internal confidentiality policies.

Can international clients invest remotely?

Yes. International clients can complete the entire process remotely. Where required, a Power of Attorney (POA) may be used, and our team can assist in arranging and facilitating this.
